4. Contract formation and precedence
4.1. A contract forms when we accept your Order, provision the Services, or take payment (whichever occurs first).
4.2. If there is a conflict between these Terms and an Order, the Order prevails only to the extent it expressly varies these Terms.
5. Term, renewals, and changes
5.1. The term is as stated in your Order (monthly/annual or minimum term if specified).
5.2. Unless cancelled in accordance with section 14, Services renew automatically for the same billing period.
5.3. We may update these Terms to reflect changes in law, security, supplier/platform, or service design. Where changes are material, we will give reasonable notice via email and/or the portal.
6. Service standard
6.1. We will provide the Services with reasonable care and skill.
6.2. You acknowledge that internet-based services are not fault-free and may experience downtime, performance variation, or third-party dependency issues.
7. Service types and scope
7.1. Shared Hosting:
Shared Hosting is a shared environment with plan limits and fair-use controls.
It is suitable for typical SME websites and standard workloads.
It may be subject to resource management to protect the platform and other customers.
7.2. VPS (unmanaged by default):
Unless your Order states “Managed”, VPS services are unmanaged.
You are responsible for the operating system, patching, configuration, firewalling, application stack, and security hardening.
7.3. Managed Services (Shared or VPS):
Where your Order includes Managed Services, the managed scope will be set out in your Order and/or Schedule 1.
Managed Services typically cover platform-level tasks (for example, OS updates, core services patching, monitoring, and backup management if purchased).
Managed Services do not automatically include application development, debugging third-party plugins, or bespoke code support unless stated.
8. Support (standard and enhanced)
8.1. Standard support hours are 09:00–17:00 UK time, Business Days, unless otherwise stated or purchased.
8.2. Support is provided via the channels we specify (typically email/ticketing).
8.3. Out-of-hours support is only included if explicitly purchased or agreed in writing.
8.4. Support excludes issues caused by customer-side actions or components outside our control, including insecure or outdated CMS/plugins/themes, third-party DNS configuration, or credentials compromise.
9. Backups and restoration
9.1. Customer responsibility (default): Unless you purchase a backup add-on and/or Managed Services including backups, you are responsible for maintaining your own backups and restore capability.
9.2. If we provide any backups on a non-managed plan, they are best-efforts only and not guaranteed to be complete, current, or recoverable in all circumstances.
9.3. Where you purchase a backup add-on or Managed Services including backups, frequency/retention/restore handling will be as stated in your Order/Schedule 1.
9.4. Restores may be chargeable if outside plan scope or requiring manual intervention.
10. Acceptable use and platform protection
10.1. You must comply with the AUP in Schedule 2.
10.2. We may implement technical controls (rate limits, process limits, mail limits, WAF rules, temporary blocks) to protect the platform, maintain performance, and prevent abuse.
10.3. You must not use the Services in a way that materially degrades service for other customers, compromises security, or breaches applicable law.
11. Security and incidents
11.1. We maintain reasonable platform security controls appropriate to the hosting environment.
11.2. You are responsible for the security of your website/application, credentials, and (for unmanaged VPS) your server configuration.
11.3. If we reasonably suspect compromise, abuse, or risk originating from your Account, we may suspend or restrict Services to contain harm and require remediation prior to reinstatement.
12. Fees, billing, and payment
12.1. Fees are as stated in your Order/invoice and are payable in advance unless agreed otherwise.
12.2. Fees are exclusive of VAT unless stated.
12.3. If payment is overdue, we may restrict support and/or suspend Services (see section 13).
12.4. You remain liable for all charges incurred up to the date of suspension/termination.
13. Suspension
13.1. We may suspend Services immediately (or with short notice) if:
you breach the AUP
your Account creates a security/stability risk
we are required to do so by law or a competent authority
invoices are unpaid 7 days after the due date (unless otherwise agreed in writing)
13.2. Suspension does not remove your obligation to pay fees due.
14. Termination and cancellation
14.1. Customer cancellation: You may cancel by giving 30 days’ notice prior to renewal (or as otherwise stated in your Order).
14.2. Annual terms: Unless your Order states otherwise, annual fees are generally non-refundable once the term has started.
14.3. Termination for cause: Either party may terminate immediately for material breach not remedied within 14 days of written notice (where remedy is possible).
14.4. Exit period: Following termination, we will provide reasonable access for you to retrieve your data for 14 days (“Exit Period”), unless prohibited by law or prevented by security/abuse considerations. After the Exit Period, we may delete data irreversibly.
15. Domains and DNS
15.1. Unless you purchase domain registration and/or DNS management from us, you are responsible for renewals and DNS configuration.
15.2. We are not responsible for downtime caused by domain expiry or third-party DNS misconfiguration.
16. Data protection (UK GDPR)
16.1. Each party will comply with applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018.
16.2. In typical hosting arrangements, you act as controller for personal data you host/process, and we act as processor to the extent we process personal data solely to provide the Services.
16.3. Where required, the parties will enter into a Data Processing Agreement (DPA) containing the mandatory processor terms.
16.4. You confirm you have a lawful basis to process personal data and to instruct us to process it on your behalf.
17. Intellectual property and content
17.1. You retain ownership of your content and intellectual property.
17.2. You grant us a limited licence to host, transmit, and process your content solely to provide the Services.
17.3. You warrant that your content and use of the Services is lawful and does not infringe third-party rights.
18. Confidentiality
18.1. Each party will keep the other party’s confidential information confidential and use it only for performing obligations under these Terms, except where disclosure is required by law.
19. Service credits for Shared Hosting downtime (sole remedy)
19.1. Unless your Order includes a specific SLA, Shared Hosting availability is provided on a best-efforts basis.
19.2. Shared Hosting – sole remedy: where Shared Hosting is unavailable due to a fault within our reasonable control, your sole and exclusive remedy is a Service Credit calculated in accordance with Schedule 3.
19.3. Service Credits are applied against future invoices and are not payable as cash unless we agree otherwise.
19.4. No Service Credit is available for unavailability caused by: planned maintenance; force majeure; customer code/configuration; third-party DNS; upstream issues outside our reasonable control; or suspension under these Terms.
20. Liability
20.1. Nothing in these Terms limits or excludes liability for:
(a) death or personal injury caused by negligence
(b) fraud or fraudulent misrepresentation
(c) any liability that cannot be excluded under applicable law
20.2. Subject to section 20.1, we are not liable for: loss of profits, revenue, business, contracts, goodwill, anticipated savings; indirect or consequential loss; or loss/corruption of data where you have not maintained adequate backups or where the loss arises outside our reasonable control.
20.3. Shared Hosting – liability cap: subject to section 20.1, our total aggregate liability arising out of or in connection with Shared Hosting (whether in contract, tort, negligence, breach of statutory duty or otherwise) is limited to the fees paid by you for the affected Shared Hosting service in the 12 months immediately preceding the event giving rise to the claim.
20.4. VPS (unmanaged) – liability cap: subject to section 20.1, our total aggregate liability arising out of or in connection with unmanaged VPS hosting is limited to the fees paid by you for the affected VPS service in the 12 months immediately preceding the event giving rise to the claim.
20.5. Managed Services – liability cap: subject to section 20.1, our total aggregate liability arising out of or in connection with Managed Services is limited to the fees paid by you for the affected Managed Services in the 12 months immediately preceding the event giving rise to the claim.
21. Indemnity
You will indemnify us against losses, damages, liabilities, costs, and expenses arising from:
breach of the AUP by you (or your users)
your content infringing third-party rights
unlawful use of the Services by you, your staff, contractors, or users
22. Third-party services
22.1. The Services may depend on third parties (datacentres, networks, software vendors, control panel providers).
22.2. We are not responsible for third-party outages or changes outside our reasonable control, but we will take reasonable steps to support restoration where practicable.
23. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control (including major network failure, large-scale DDoS, supplier failure, fire, flood, war, terrorism, or government action), provided reasonable mitigation steps are taken.
24. Notices
24.1. Notices to Brightlogic must be sent to support@brightlogic.uk (or any replacement address we notify).
24.2. Notices to you will be sent to the email address registered on your Account.
24.3. Notices are deemed received on the next Business Day after sending, unless delivery failure is notified.

25.2. Subcontracting: We may subcontract elements of the Services (including to datacentre and platform providers).
25.3. Severability: If any provision is found unenforceable, the remainder remains in force.
